World Revival Prayer Fellowship

Article 1: Name

The society shall be a Christian church (hereinafter called “the Church”).  The name of the Church shall be WORLD REVIVAL PRAYER FELLOWSHIP.

Article 2: Place of Business

The place of business of the Church shall be at “No. 8 Lorong 27A Geylang, #03-13 Guilin Building, Singapore 388106″ or such other address in Singapore as may subsequently be decided upon by the Board of Elders and approved by the Registrar of Societies.  The Church shall carry out its activities only in places and premises which have the prior written approval from the relevant authorities.

Article 3: Objects

The objects for which the Church shall be established shall be:

(1)         to bring members into a unity of faith and knowledge of Jesus Christ to the end

that all may be presented perfect in Him;

(2)        to uplift members spiritually and to encourage and teach holiness in the lives of

members;

(3)        to teach and encourage evangelism by every lawful means and as a part of ordinary daily living;

(4)         to provide training in leadership and to teach members to be law abiding and

loyal to the nation as taught in the Bible;

(5)         to fellowship and co-operate with other churches and Christian organizations in

the promotion and advancement of common objects; and

(6)        to undertake and participate in charitable activities for the benefit of the community.

Article 4: Statement of Faith

Members shall be required to subscribe to the Statement of Faith as attached in Appendix A.

Article 5: Membership

5.1       Membership, subject to approval by the Board of Elders, shall be open to all persons who shall subscribe to the Statement of Faith herein.

5.2       There shall be three (3) categories of membership.

(1)        Junior Members

Persons below the age of sixteen (16) years at the time of application may be admitted as junior members.  Junior members shall not be entitled to vote or hold office in the Church.

(2)        Ordinary Members

Other persons may be admitted as ordinary members.  Ordinary members shall have all the privileges and responsibilities of membership including the right to vote and to hold office in the Church.  Junior members on attaining the age of sixteen years shall ipso facto become ordinary members.

(3)       Absent Members

Ordinary Members living away from Singapore or who cease to regularly attend worship services of the Church shall on action taken by the Board of Elders be transferred to a register of Absent Members.  Absent Members shall not have the right to vote or hold office in Church and shall not be counted for the purpose of determining any required quorum or constituting such quorum.  An Absent Member may on resumption of regular attendance of worship services of the Church and after an interview by two members of the Board of Elders and upon approval by the Board of Elders be reinstated as an Ordinary Member.

5.3       Application for membership shall be made in the prescribed form and approval shall be at the absolute discretion of the Board of Elders.

5.4       The Board of Elders shall also have power to discipline members in accordance with principles set out in the New Testament and to dismiss from membership persons who notwithstanding counseling and warning persist in conduct inconsistent with membership of the Church.

Article 6:  Finance and Audit

6.1       The activities of the Church shall be financed from free will offerings and gifts of members and friends in conformity with Biblical principles.  The Church shall not raise funds by unscriptural means.

6.2       Proper books of account shall be kept which shall be audited annually by external auditors who shall be approved auditors under the Companies Act and appointed by the Church at the Annual General Meeting. The external auditor will hold office for a term of two years and may be re-appointed for a consecutive term of office.

6.3       The external auditor will be required to audit each year’s accounts and present a report upon them to the Annual General Meeting.  The auditor may be required by the President to audit the Church’s accounts for any period within their tenure of office at any date and make a report to the Board of Elders.

6.4       The financial year of the Church shall be from 1st January to 31st December every year.

6.5       The Board of Elders of the Church shall have power to approve expenditure of church funds not exceeding Dollars Fifteen Thousand ($15,000.00) for any one project for Church purposes, subject to a maximum of $60,000.00 a year, without reference to the Church in general meeting.

Article 7:   Board of Elders

7.1       The management of the Church shall be vested in a Board of Elders comprising the Pastor-in-Charge for the time being of the Church and six (6) other members who shall be elected at the Annual General Meeting of the Church.  All office-bearers except for the Treasurer, shall hold office for a term of 2 years.  The Treasurer, shall hold office for a term of one (1) year.  Save for the Treasurer, members may be re-elected for consecutive terms of office.  The  Pastor-in-Charge for the time being of the Church shall ex officio be a member of the Board of Elders.

7.2       At the first annual general meeting after this Constitution shall come into effect, the Church shall elect six (6) members to the Board of Elders, three (3) of whom shall serve for a term of one year, where as the other three (3)  for a term of two years.

7.3       A Nomination Committee consisting of at least two Church elders and three other members appointed by the Board of Elders shall oversee the process of nomination and present the nominees to the general body two weeks before the annual general meeting.

7.4       Except with the approval of the Registrar of Societies, all members of the Board of Elders shall be Singapore Citizens or Permanent Residents.

7.5       The Board of Elders shall elect among themselves a President, a Vice-President, a Secretary and a Treasurer and may appoint sub-committees and co-opt  members to assist in the running and ministry of the Church.

7.6       The duties of the office-bearers are :

7.6.1    The President shall act as Chairman at all general and Board meetings.  He shall also represent the Church in its dealings with outside persons.

7.6.2    The Vice-President shall deputise for the President in his absence.

7.6.3        The Secretary shall keep all records, except financial, of  the Church and shall be responsible for their correctness.  He shall keep minutes of all general and Board meetings.  He shall also maintain a Register of members at all times.

7.6.4    The Treasurer shall keep all funds and collect and disburse all monies on behalf of the Church and shall keep an account of all monetary transactions and shall be responsible for their correctness.  Cheques etc for withdrawals from the bank will be signed by the Treasurer and the President or the Secretary.

7.6.5        The ordinary members in the Board of Elders shall assist in the general administration of the Church and perform duties assigned by the Board of Elders from time to time.

7.7       The Board of Elders shall meet at least once in three (3) months and as often as it shall think necessary after giving seven (7) days’ notice to the Board members.  It shall establish its own procedures provided that a quorum shall be not less than half of the total Board member and voting shall be by simple majority.  The President may call a Board meeting at any time by giving seven (7) days’ notice.

7.8       The Board of Elders shall organise and supervise the daily activities of the Church.  It shall  also be responsible, inter alia, for preaching and teaching the Word of God, baptizing persons, administering the Holy Communion and appointing the Pastors, missionaries and staff of the Church and determining their remuneration and terms of appointment and generally overseeing the spiritual well being of the Church.

7.9       The Board of Elders shall not act in contravention of the expressed wishes of the Church without prior reference to it and always remains subordinate to the general meetings as far as management affairs are concerned.

Article 8:  General Meetings

8.1       An annual general meeting of the Church shall be held not later than April 30th in every year.  Not less than 14 days notice shall be given of the annual general meeting.

8.2       The agenda for the annual general meeting shall be :

(1)        The Pastor-in-Charge’s  Report;

(2)        The previous financial year’s accounts and annual report of the Board of Elders;

(3)        Election of the members of the Board of Elders for the following term;

(4)        Where applicable, the appointment of an external auditors for the following term;

(5)        Any Other Business.

8.3       A member wishing to table any matter for discussion at a general meeting shall give written notice to the Secretary at least 7 days before the general meeting, stating precisely the matter for discussion.

8.4       All other general meetings shall be extraordinary general meetings.  Extraordinary general meetings, subject to the same requirement for notice, may be convened by order of the Board of Elders at any time and shall be convened upon the requisition in writing of not less than 30 voting members of the Church, stating the purpose of such meeting.

8.5       The quorum for the general meetings shall be not less than one quarter of the Ordinary Members of the Church.  In the event there shall not be a quorum within 30 minutes of the appointed time for the meeting, those members present shall be deemed a sufficient quorum except that such a meeting shall not amend the Constitution or dissolve the Church or deal with any business not on the original agenda for the meeting.

Article 9:  Property and Trustees

9.1      Immovable properties of the Church shall be held in the names of three (3) trustees who shall be elected by a general meeting of members.

9.2      Trustees shall execute a Declaration of Trust for each property held by them for the Church.

9.3      Any trustee may at any time resign his trusteeship.  If a trustee dies or becomes a lunatic or of unsound mind or moves permanently or is absent from the State of Singapore for a period of one year, he shall be deemed to have resigned his trusteeship.  If a trustee is guilty of misconduct of such a kind as to render it undesirable that he continue as a trustee, a general meeting may remove him from his trusteeship.

9.4      Notice of any proposal to remove a trustee from his trusteeship or to appoint a new trustee to fill a vacancy must be given by posting it on the notice board in the premises of the Church at least two weeks before the meeting at which the proposal is to be discussed.  The result of such meeting shall then be notified to the Registrar of Societies and the Commissioner of Charities.

Article 10:  Borrowing Powers

10.1    The Church shall have power to borrow money for the purchase and/or development of immovable property of the Church for the objects of the Church and to mortgage such property to secure any loan or banking facilities required for such purchase or development.

10.2    The borrowing power shall be exercised by the Board of Elders on behalf of the Church and the Board may in its absolute discretion accept such terms as to interest and repayment as it shall think expedient and to direct the Trustees to execute any instrument of mortgage.

Article 11:  Prohibitions

11.1    Gambling of any kind, whether for stakes or not, and the introduction of materials for gambling, or drug taking and of bad characters into any premises used by or belonging to the Church are prohibited.

11.2     The Church shall not  attempt to restrict or interfere  with trade or make directly or indirectly any recommendation to, any arrangement with its members which has the purpose or is likely to have the effect of fixing or controlling the price or any discount, allowance or rebate relating to any goods or services which adversely affect consumer interests.

11.3          The Church shall not engage in any trade union activity as defined in any written law relating to trade unions for the time being in force in Singapore.

11.4     The Church shall not engage in any political activity or allow its funds and/or premises to be used for political activity or purposes.

11.5     Funds of the Church shall not be used for composition of offences or to pay the fines of members who have been convicted in court.

11.6     The Church shall not hold any lottery, whether confined to its members or not, in the name of the Church or its office-bearers, Board of Elders or members unless with the prior approval of the relevant authorities.

11.7     The Church shall not raise funds from the public for whatever purposes without the prior approval in writing of the Director, Criminal Investigation Department and other relevant authorities.

Article 12:  Amendments

The provisions of this Constitution may be amended only at a general meeting by a vote of not less than fifty per cent (50%) of the voting members of the Church and any amendment shall be subject to approval by the Registrar of Societies and the Commissioner of Charities.

Article 13: Interpretation

In the event of any question or matter arising out of any point which is not expressly provided for in the rules, the Board of Elders shall have power to use their own discretion.  The decision of the Board of Elders shall be final unless it is reversed at a general meeting of members.

Article 14: Dissolution

14.1     The Church shall not be dissolved except with the consent of not less than three-quarters of the total voting members of the Church for the time being resident in Singapore, expressed either in person or by proxy at  general meeting convened specifically for such purpose.

14.2     On dissolution of the Church as provided above, all debts and liabilities legally incurred on behalf of the Church shall be fully discharged and the remaining funds and assets shall be  given to another charitable institution of like faith as members shall determine and registered under the Charities Act, Chapter 37.

14.3          A Certificate of Dissolution shall be given within seven days of the dissolution to the Registrar of Societies and the Commissioner of Charities.
